Terms of Service

These Terms of Service (“Terms”) are a binding agreement between Mentalys, Inc. (“Mentalys,” “we”) and the practice or individual that subscribes to our service (“you,” “Customer”). By creating an account or using Mentalys, you agree to these Terms.
01Acceptable use
Mentalys is provided exclusively for licensed psychiatric practitioners and the staff they authorize. You represent that you hold a valid license to practice and that you will use Mentalys only for lawful clinical and administrative purposes within your practice.
- You may not use Mentalys if you are not a licensed practitioner or acting under the direction of one.
- You may not share credentials, circumvent access controls, or attempt to access another practice’s data.
- You may not use the service to violate any law or the rights of any patient or third party.
02HIPAA compliance obligations
Your responsibilities as the Covered Entity
You are the Covered Entity under HIPAA. Mentalys acts as your Business Associate.
- You must execute a Business Associate Agreement (BAA) with Mentalys before placing any PHI into the service. The BAA governs all PHI handling and controls in the event of any conflict with these Terms.
- You are responsible for obtaining all necessary patient consent, including consent to record and to process audio and clinical information.
- You are responsible for the accuracy of patient records and for using the service in compliance with HIPAA and applicable state law.
03Payment terms
- Subscription fee: plans start at $499 per month, per practice. See our pricing page for current tiers.
- Billing: subscriptions renew automatically each month until cancelled.
- Cancellation: you may cancel at any time, effective at the end of the current billing month.
- Refunds: fees for months already in progress or already used are non-refundable.
04Limitation of liability
Decision support — not a medical device
Mentalys is a clinical decision-support and documentation tool. It is not a medical device and does not provide medical advice, diagnosis, or treatment.
The clinician is solely responsible for all clinical decisions, including reviewing, verifying, and approving any transcript, note, or summary generated by the service before it is relied upon or entered into a patient’s record. AI-generated output may contain errors and must be reviewed by a qualified professional.
To the maximum extent permitted by law, Mentalys’s total liability arising out of or relating to the service is limited to the fees you paid in the twelve (12) months preceding the claim. Mentalys is not liable for indirect, incidental, or consequential damages. The service is provided “as is” without warranties except as expressly stated.
05Termination
You may cancel your subscription at any time from your account. We may suspend or terminate access if you breach these Terms, fail to pay, or use the service in a way that risks harm to patients, other customers, or the service. Where practical, we will provide notice and an opportunity to cure.
06Data export on cancellation
Following cancellation or termination, we will make your data available for export for 30 days. It is your responsibility to retrieve your records within that window. After 30 days, and subject to the retention periods required by HIPAA and the BAA, data may be deleted. See our Privacy Policy for retention details.
07Governing law
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws principles. The state and federal courts located in Virginia have exclusive jurisdiction over any dispute arising out of these Terms.
08Changes & contact
We may update these Terms from time to time. Material changes will be communicated, and continued use after the effective date constitutes acceptance. Questions about these Terms can be directed to judah@mentalys.ai.
